Terms of Service

1. Contract

These Terms of Service ("Terms") apply to your use of goendl.org and the endl account platform, together the "Service", operated by endl Ltd ("the Company," "we," "us," or "our") at Gate District, DIFC, Precinct Building 4, Level 3, Dubai 23453, UAE. By accessing or using the Service, you accept these Terms for yourself and each business you represent. If you disagree, do not use the Service.

The Service is available only to businesses, including companies, partnerships, and sole traders acting as businesses. The endl platform is not for personal, household, or consumer use. These Terms do not restrict statutory rights under the laws of your residence or incorporation where those rights cannot legally be waived.

2. Eligibility and KYC/KYB

To open and keep an endl account, you must:

• Be an incorporated or registered business authorised to enter binding contracts;
• Give accurate, complete, current registration information, including company documents, beneficial ownership declarations, and certified identification for signatories where required by our KYC/KYB procedures;
• Promptly revise registration details that change, including beneficial ownership, registered address, or authorised signatories;
• Assist with enhanced due diligence or re-verification requested by our compliance team;
• Not provide false or misleading information or misstate the account's identity, ownership, or purpose.

We may reject applications, suspend accounts, or end services if KYC/KYB requirements are unmet or we reasonably suspect fraud, financial crime, or sanctions exposure.

3. Approved Use

You may use the Service only for lawful business purposes and consistently with these Terms. You must not:

• Use the Service for activity breaching applicable UAE, DIFC, or international sanctions, AML/CFT, or financial crime prevention laws;
• Try to access systems, accounts, or data without authorisation;
• Disrupt or interfere with the Service, connected networks, or infrastructure;
• Scrape, reverse-engineer, decompile, or reproduce any Service part unless applicable law expressly allows it;
• Process payments through the Service that are unlawful or breach applicable card network, payment rail, or correspondent banking terms.

4. Intellectual Property

The Company or its licensors owns the Service, including its software, interface, design, and content, which applicable intellectual property law protects. We give you a limited, non-exclusive, non-transferable licence to use the Service only for your internal business purposes. No further right or licence is provided.

5. Transaction Data and Content

You are responsible for correct payment instructions, including the recipient's account details, currency, and amount. The Company is not liable for losses caused by incorrect instructions from you or your authorised users. Once sent to a payment rail, a payment may not be reversible; contact [email protected] immediately to investigate a misdirected payment.

You license the Company to process, store, and transmit payment data and account content only to provide the Service, meet legal obligations, and improve the platform.

6. Fees

Charges for endl's account, payout, FX, and card services appear on our Pricing page and in your account agreement. We charge in the currency stated for the transaction. FX conversion uses the mid-market rate plus a declared markup shown at conversion. We may revise the fee schedule with advance notice through the dashboard or email.

7. Disclaimers

The Service is supplied "as is" and "as available." The Company does not promise uninterrupted or error-free platform or payment infrastructure access. To the fullest extent allowed by applicable law, we reject warranties not expressly stated here. endl is not a licensed bank and provides no deposit protection or guarantee schemes. Funds in your endl account are not covered by government deposit insurance.

8. Liability Limits

To the fullest extent allowed by applicable law, the Company's total liability connected with the Service is capped at the fees you paid the Company during the three months before the event giving rise to the claim. This cap does not cover fraud, wilful misconduct, or liability that mandatory law cannot limit.

9. Indemnity

You agree to indemnify and hold harmless the Company, its officers, employees, and agents against claims, losses, and expenses, including reasonable legal fees, arising from your use of the Service, breach of these Terms, incorrect payment instructions, or violation of applicable law or a third-party right.

10. Termination

Either party may end the account relationship with reasonable written notice. We may immediately suspend or end access for a material breach, failure to maintain KYC/KYB compliance, suspected financial crime, or legal or regulatory direction. Provisions intended by their nature to continue, including liability limits, indemnity, and governing law, survive termination.

11. Law and Jurisdiction

UAE law governs these Terms. Disputes arising from or connected with these Terms or the Service fall under the non-exclusive jurisdiction of the competent courts in Dubai, the United Arab Emirates, without affecting mandatory rights under the laws of your residence or incorporation.

12. Changes and Contact

We may revise these Terms for changes to our services, applicable law, or business practices. We will post material changes with a revised "Last updated" date and, where practical, notify active account holders by email or dashboard notice. Using the Service after the effective date means you accept the revised Terms.
